These Sell Traces Contributor Terms ("Contributor Terms") are an agreement
between you and Sell Traces, Inc. ("we," "us," or "our"). They apply when you
choose to upload traces to Sell Traces, our service for licensing AI agent
traces to companies and researchers who build AI systems.
These Contributor Terms add to our Terms of Service (the
"Terms"). The Terms also apply to your use of Sell Traces, including their
sections on eligibility, accounts, acceptable use, disclaimers, limitation of
liability, indemnity, dispute resolution and arbitration, and governing law. If
the two conflict about traces you upload, these Contributor Terms control. Our
Privacy Notice explains how we handle personal information.
You accept these Contributor Terms by checking the box and selecting Accept in
your dashboard. We record which version you accepted and when. You cannot upload
traces until you have accepted the current version.
1. Traces and how you contribute
A "trace" is a record of a session with an AI coding agent or assistant. A trace
can include your prompts, the AI's responses, tool calls and their results,
commands, code and file contents that appeared in the session, timestamps, model
and tool names, token counts, and session details such as the working directory,
repository, branch, operating system, and shell. A "Contribution" is a trace you
upload, together with its metadata.
You contribute with the selltraces command-line tool. It finds the transcripts
that supported tools, such as Claude Code, Codex, Cursor, Gemini CLI, and
OpenCode, keep on your computer, redacts them on your computer, and shows you a
plan. Nothing uploads until you approve it. You choose which sources and projects
are approved, and you can keep projects private or block terms. Where we offer
it, you can also upload a supported export from an AI assistant, such as a
ChatGPT or Claude data export.
Contributing is optional. Rebates works without it, and Rebates does not upload
traces for sale.
2. You keep ownership
You keep whatever rights you have in your Contributions. We do not take
ownership of them. Instead, you give us the license in section 3.
A trace can contain material that is not yours to share, such as code that
belongs to your employer or a client. Section 4 explains what you must confirm
before you upload.
3. The license you give us
When you upload a Contribution, you grant Sell Traces, Inc. a worldwide,
non-exclusive license to the uses below. If you uploaded traces to Sell Traces
before accepting these Contributor Terms, accepting them grants the same license
for those traces, starting when you accept. The license lets us:
host, store, copy, transmit, and make backups of it;
redact, de-identify, filter, reformat, and otherwise modify it;
review, analyze, score, classify, and price it, by automated means and by
people;
combine it with other data and create derived datasets, annotations,
benchmarks, and statistics from it; and
license, sell, and deliver it, alone or in datasets, to AI developers,
research organizations, and other buyers, who may use it to train, fine-tune,
evaluate, benchmark, and research AI systems.
This license is:
Paid only through your revenue share. Your share of sales under section 7
is the only compensation for the license.
Sublicensable and transferable. We can pass these rights to buyers for the
uses above, to service providers working on our behalf, and to a successor in a
merger, acquisition, or sale of our business.
Irrevocable for delivered copies. Once we deliver a Contribution to a buyer,
the buyer's rights in that copy, and in models, evaluations, and results
already built with it, continue even if you later exclude or delete the trace
or close your account.
Ended for unsold traces you exclude or delete. For a trace that has not
sold, our right to license, sell, or deliver it ends when you exclude or delete
it. While an excluded trace stays in your account, we keep storing it so you
can see it and include it again.
4. Your promises
Each time you upload a Contribution, and when you accept these Contributor Terms
for traces you uploaded earlier, you promise that:
you took part in the sessions it records, or you are otherwise authorized to
share them, and you have the rights needed to grant the license in section 3;
it does not contain confidential or proprietary information of your employer,
a client, or anyone else, unless you are authorized to share that information
for these uses;
uploading it, and our licensing it, does not breach any agreement, policy, or
license that binds you, such as an employment or contractor agreement, a
confidentiality obligation, the terms of the AI tool that produced it, or the
license of code that appears in it;
it does not contain personal information about other people, unless you have
the authority and a lawful basis to share it for these uses;
it does not contain malware, working credentials such as passwords, API keys,
or access tokens, or content that is illegal to possess or distribute; and
it is a genuine record of real sessions. You will not upload fabricated or
synthetic traces, traces created or edited to earn payouts, or copies of
traces that you or anyone else already uploaded, and you will not use more
than one account to upload the same data.
If you learn that a Contribution breaks one of these promises, exclude it right
away and tell us at legal@rebates.ai.
5. Privacy and redaction
The selltraces tool redacts traces on your computer before upload, and we scrub
them again on our servers. Redaction looks for things like API keys and other
secrets, access tokens, email addresses, phone numbers, IP addresses, street
addresses, and home directory paths.
Automated redaction is imperfect. It can miss sensitive information, and it can
remove text that was harmless. You are responsible for what you upload, so:
review the upload plan and the redaction preview before you approve an upload;
use the exclusion controls: keep sensitive projects private, block terms, and
exclude individual traces; and
do not upload sessions from sensitive projects, such as client work under a
confidentiality agreement, systems that handle health or financial records, or
work that exposes production secrets.
We do not sell traces that contain certain sensitive data. If our scrubbing finds
a government identification number such as a Social Security number, a payment
card number, or a health or medical record identifier, we reject the trace and do
not offer it for sale. We may also reject or remove any trace we believe contains
sensitive personal information.
If you find sensitive information in a trace you uploaded, exclude the trace and
contact us at privacy@rebates.ai.
6. Pricing and sales
We decide whether to offer a Contribution for sale, which buyers to offer it to,
how to package it, and what to charge. We may decline to list or sell any trace,
for example because of its quality, duplication, sensitivity, or buyer demand.
We do not promise that any trace will sell or that you will earn any amount.
Values, estimates, and scores shown in the tool or dashboard are guides based on
our current pricing model. They are not offers, quotes, or promises of payment,
and a trace can sell for more or less than its estimate.
7. Revenue share and payouts
Your share. You earn 70% of the net proceeds from sales of your
Contributions, and we keep 30%. "Net proceeds" means the amount a buyer actually
pays us that is attributable to your traces, minus refunds, credits, chargebacks,
and any sales, use, value-added, or similar taxes on the sale. When a sale
includes traces from more than one contributor, we attribute proceeds to each
trace using the per-trace price we record for that sale.
Hold period. Your share of a sale is held for 14 days after the sale closes
before it becomes available, so refunds, disputes, and fraud checks can be
resolved.
Payouts. You can request a payout once your available balance is at least
$10. A smaller balance carries over. Payouts are currently sent manually through
our payout provider, Dots, to the payout details in your account, so timing can
vary. The payout provider's terms, verification requirements, and fees may also
apply. Your dashboard shows which of your traces have sold and what you have
earned.
Taxes and verification. You are responsible for taxes on your earnings.
Before paying you, we or our payout provider may require identity verification,
tax forms, and accurate payout details, and we may delay a payout until those
requirements are met. We may withhold amounts when the law requires it.
Adjustments and clawbacks. We may reverse or withhold unpaid amounts, deduct
them from future earnings, or ask you to repay amounts already paid when a buyer
receives a refund, credit, or chargeback for a sale that included your traces,
when we paid you by mistake, or when the earnings came from fraud or from a breach
of section 4, these Contributor Terms, or the Terms. We will tell you when we
reverse, deduct, or ask you to repay an amount.
Rebates earnings are governed by the Terms, not by this section.
8. Buyers
We license Contributions only to buyers who agree to written license terms.
Those terms limit buyers to training, evaluating, and researching AI systems, and
prohibit them from trying to re-identify you or anyone whose information appears
in a trace, and from redistributing or reselling the traces we deliver. We are
not responsible for a buyer's breach of its license terms, but we will take
reasonable steps to enforce them when we learn of a breach.
9. Excluding, deleting, and withdrawing traces
Exclude before a sale. You can exclude a trace, or a whole project, from sale
at any time before it sells, from Data Controls or from the trace itself. We stop
offering an excluded trace in new sales, and you can include it again later.
Sold traces are locked. Once a trace is part of a sale, you can no longer
exclude it in the product, because copies have been delivered. You can still ask
us to stop offering a sold trace in future sales by emailing
privacy@rebates.ai, and we will do so within a reasonable time.
Deletion. You can ask us to delete your Contributions, or delete your
account. We stop offering deleted traces for sale and delete them from our active
systems within a reasonable time. We may keep limited records that we need for
accounting, taxes, payouts, fraud prevention, security, and legal obligations,
and to show what we delivered to buyers, as described in our Privacy Notice.
What cannot be recalled. Excluding or deleting a trace, or closing your
account, does not recall copies already delivered to buyers, and does not undo
models, evaluations, or research results already built with them. Buyers can
keep using delivered copies under their license terms.
10. Suspension and termination
We may reject or remove any Contribution, stop offering it for sale, or suspend
or end your ability to upload if we reasonably believe that you breached these
Contributor Terms or the Terms, that a Contribution creates legal, privacy, or
security risk, or that we must do so to comply with the law or with a
requirement of a buyer or payment partner. If we suspect fraud or a breach of
section 4, we may hold unpaid amounts connected to the affected Contributions
while we investigate, and keep them if we confirm the problem.
You can stop contributing at any time. If your participation ends, your share of
sales that closed before then stays payable under section 7. The parts of these
Contributor Terms that by their nature should continue, including the license
for delivered copies, your promises, adjustments and clawbacks, and the terms
about liability, survive.
11. Disclaimers, liability, and indemnity
The disclaimers, limitation of liability, and indemnity in the Terms apply to
Sell Traces and to your Contributions. The selltraces tool, redaction and
scrubbing, estimates, and the marketplace are provided "as is." We do not promise
that redaction will remove all sensitive information or that any trace will sell.
For claims about Sell Traces, the liability cap in the Terms is calculated with
the unpaid revenue share owed to you under these Contributor Terms in place of
Rebates earnings.
Your indemnity under the Terms includes claims that arise from your
Contributions, such as claims by your employer, a client, or a person whose
information appears in a trace, and claims that a Contribution breaks a promise
in section 4.
12. Changes to these Contributor Terms
We may update these Contributor Terms. Each version has a version number and an
effective date, and we will tell you about new versions in the dashboard, in the
selltraces tool, or by email. You need to accept a new version before your next
upload. Traces you uploaded before stay under the version you had accepted until
you accept a newer one, and a change to your revenue share applies only to sales
that close after you accept it. If you do not accept a new version, you can still
exclude or delete the traces you already uploaded.
